Commitment to Privacy

Supply Point Systems, Inc. (“SupplyPoint”, “we” or “us”) is committed to the privacy of each customer, client and website visitor (“User” of “you”). We maintain this privacy policy (“Privacy Policy”) to protect the privacy of our Users, to explain our online information practices and to disclose how User information is collected and used. By using this Site (defined below), each User represents and warrants that they have read, understand and agree to this Privacy Policy and consents to SupplyPoint’s use as described herein. This document supersedes any prior communication on this subject matter and reflects the entire and exclusive Privacy Policy for spssync.net (“Site”). In the event of a conflict between the Privacy Policy and any written agreement with User, the terms of such agreement shall control. We reserve the right to change this Privacy Policy at any time by posting a new version of it on the Site. Any such changes shall become effective and binding after their posting on the Site. By continuing to use the Site after any posted revision, each User agrees to be bound by the revised Privacy Policy. Therefore, we recommend that each User periodically review this Privacy Policy for any updates.

User Identifiable Information

This Privacy Policy applies to all user identifiable information collected on or submitted to the Site. Various types of user identifiable information may be collected from each User via the Site in order for SupplyPoint to provide the services offered through the Site. Such information may include customer names, mailing address, telephone numbers, email addresses, past orders, customer equipment and data and other information concerning customers or other Users that may be needed in order to provide the services requested by the customer or other User. We may also collect automatically submitted information regarding the User’s computer configuration, including the previous and subsequent URL, browser type, operating system, IP address or ISP domain name. We may collect information submitted by a User in online or offline communications or interactions facilitated by or through the Site. We do not intentionally collect information from anyone under the age of 13.

Use of Information

Information provided by Users or obtained from Users’ access to the Site is used by SupplyPoint primarily for two reasons: (1) to provide direct support and service to SupplyPoint’s customers and (2) to provide and improve the Site’s service and functionality. For example, SupplyPoint may use information submitted by a customer User to provide support for SupplyPoint equipment. Additionally, SupplyPoint may use IP addresses and other technical information to diagnose problems with our servers, to administer the Site or to gather general Site access information. Non-identifying and aggregate information may be used to improve the Site or may be shared with advertisers, if any. SupplyPoint may also contact Users regarding improvements to the Site, to provide information regarding a User account or with information about new services that are available to Users. An opt-out is provided with regard to the receipt of these communications as set forth below.

Third Party Sharing

From time to time, SupplyPoint may provide automatically submitted User information to third parties for servicing, supporting or hosting the Site or user identifiable information to third parties together with whom SupplyPoint provides its services. While SupplyPoint takes reasonable steps to ensure that all third parties receiving user information from SupplyPoint comply with this Privacy Policy, SupplyPoint cannot ultimately control such third parties use. Therefore, User agrees not to hold SupplyPoint accountable for any use or actions of such third parties. You may choose to opt-out of the provision of your user identifiable information to third parties by following the steps set forth below.

Use of Cookies

Cookies are small text files that are used for authenticating, tracking and maintaining specific information about users such as site preferences. We may use cookies to personalize and enhance the online experience of our Users and to provide improved content and services. Currently cookies are only used to maintain information about the current online web session. Each User can reset their browser to provide notification of cookies, or to disable the cookie feature. Note that in the event you configure your computer to block or erase cookies, you may not be able to use all or certain parts or features of the Site.

Disclosure

All information submitted by Users to the Site becomes the property of SupplyPoint. SupplyPoint will not knowingly disclose nonpublic information without a User’s consent other than in certain exceptional circumstances, such as to protect against hackers, to protect our legal rights, to enforce an agreement with a User, to address actual or threatened illegal or harmful conduct, as required by legal or professional standards, or if we believe such disclosure is reasonably necessary to protect the rights and property of SupplyPoint or its customers, including the establishment or defense of legal claims. There may be parts of the Site that permit a User to participate in interactive discussions with other Users. SupplyPoint does not control the content that Users post, and thus, is not responsible for such content. A User should therefore tailor content submitted accordingly. If SupplyPoint is involved in a merger, acquisition, asset sale or bankruptcy, we will continue to ensure the confidentiality of any personal information and give affected users notice before personal information is transferred or becomes subject to a different privacy policy.

Account Information

SupplyPoint attempts to honor requests from customers or other Users for changes in account information, such as name and password, or other user identifiable information and will use best efforts to correct any such information that is inaccurate. Customer’s information is kept for 30 days purely for backup purposes.

Opt-Out

SupplyPoint offers its Users the opportunity to choose (opt-out) (a) whether their user identifiable information is to be disclosed to a third party, (b) whether their user identifiable information is to be used for a purpose other than the purpose for which it was originally collected or subsequently authorized by the User, or (c) not to receive unsolicited communications from SupplyPoint. Any User who desires to opt-out of any or all of the above shall send an email to privacy@supplypoint.com requesting to opt-out of all or any part of the above.

Third Party Web Sites

The Site may provide links to third party web sites that do not follow our Privacy Policy and over which we have no control. Users should check the privacy policies of any other web site prior to use.

Risk of Use

No data transmission over the Internet can be guaranteed to be 100% secure. SupplyPoint cannot guarantee the security of any information transmitted to us and Users provide such information at their own risk. SupplyPoint does not require or accept payment on this site. SupplyPoint expressly disclaims any liability that may arise from any provision of any information whatsoever to this Site.

Dispute Resolution

SupplyPoint Internal Dispute Resolution Process:

We recognize that sometimes things don’t go as planned. It is important to SupplyPoint that we resolve your concern. If you have a matter that is in dispute or a complaint about SupplyPoint web sync site or service you can use our Internal Dispute Process by contacting us as detailed below.

The Internal Resolution Process is a 2 step process:

Step 2: We will do our utmost to resolve the matter in a timely fashion. If we cannot resolve the matter promptly due to its complexity, you will be advised in writing. For further detail about our Internal Dispute Resolution process please contact SupplyPoint as outlined above.

In accordance with our commitment to protect personal privacy, SupplyPoint adheres to the principles of the Safe Harbor Framework as developed by the U.S. Department of Commerce in consultation with the European Commission.
